WHEREAS the VENDOR hereby sell, transfer and convey by way of Conditional _________________________________________ __________________________ _____________ , Sale unto the BUYER, ____________________________ _____________________________________ _______________________ __________ , Filipino, of legal age, and resident of ________________________ (herein referred to as the BUYER) the above-described ITEMS, under the following SALES TERMS AND CONDITIONS :

That in case of non-payment or late payment this contract is considered rescinded; the ITEMS above-described shall be returned by the BUYER to the VENDOR in the same condition as when they were delivered to the BUYER, and be replaced with the same kind if damaged ; the VENDOR shall not be obliged to refund any of the payments made by the vendee; the VENDOR shall be entitled to collect the debt by any legal means, and will also be entitled to costs, including the collection fees and attorney fees, incurred by the VENDOR to collect the debt; in addition, the BUYER shall be subject to the Seller’s right to claim payment of the penalty fee provided for under paragraph 5 herebelow; 5.
In case of non-payment or late payment by the BUYER, the latter shall pay to the Seller a penalty fee equal to 100% (one hundred per cent) of the value of the ITEMS above-mentioned, without wi thout prejudice to Seller’s right to claim compensation of any further damages suffered in connection therewith.
